Effective date: October 17, 2026

This End-User License Agreement (“Agreement”) is between IoWT, LLC, doing business as Flow-Sync (“Flow-Sync”), and each person who uses the Flow-Sync app at app.flow-sync.com (the “App”). By signing in, you agree to this Agreement. If you use the App for a company, you agree for that company too.

1. License

Flow-Sync gives you a limited, non-exclusive, non-transferable, revocable right to use the App for your company’s business with Flow-Sync. Flow-Sync keeps all rights in the App and its software. You may not copy, resell, reverse engineer, or try to get around its security or access controls.

2. Accounts

Accounts are created by Flow-Sync or by your company’s administrator. Keep your sign-in details private and do not share accounts. You are responsible for activity under your account. Tell us right away at info@flow-sync.com if you suspect unauthorized use.

3. Acceptable use

Use the App only for lawful business purposes. Do not upload harmful code, overload the App, access data you are not authorized to see, or use it to send unsolicited messages.

4. Your data

Your company keeps ownership of the data it enters. You give Flow-Sync permission to use that data to provide the App, bill for services, and improve our operations, as described in our Privacy Policy.

5. Equipment data and safety

The App shows readings and alarms from Flow-Sync monitoring equipment. Readings can be delayed, incomplete or wrong because of connectivity, sensor or equipment problems. The App does not replace on-site supervision, safety procedures or your own judgment. Do not rely on it as the only safeguard for people, property or the environment.

6. Requests and confirmations

Some actions in the App, such as on-rent and off-rent requests, are requests until Flow-Sync confirms them. Pricing, rental terms and invoices are governed by your company’s agreement with Flow-Sync.

7. Third-party services

The App uses outside services, including Intuit QuickBooks Online, Amazon Web Services, Twilio, Google Maps and Quartix. Their terms apply to their services, and Flow-Sync is not responsible for them. Intuit is not a party to this Agreement and is not responsible for the App.

8. Changes and availability

Flow-Sync may update, change or stop features at any time. We aim to keep the App available but do not promise uninterrupted service. Planned maintenance and outages can happen.

9. Disclaimer

TO THE EXTENT THE LAW ALLOWS, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, FLOW-SYNC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, ARISING FROM USE OF THE APP. FLOW-SYNC’S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOUR COMPANY PAID FLOW-SYNC FOR THE BILLING PERIOD IN WHICH THE CLAIM AROSE.

11. Ending access

Flow-Sync or your company’s administrator may suspend or remove your access at any time, including for breaking this Agreement. Sections 4, 5, 9, 10 and 12 continue after access ends.

12. Governing law and precedence

This Agreement is governed by the laws of the State of Texas. Disputes will be heard in the state or federal courts in Tarrant County, Texas. If your company has a signed agreement with Flow-Sync, that agreement controls wherever it conflicts with this one.

13. Changes to this Agreement

We may update this Agreement by posting a new version here. Continuing to use the App after a change means you accept it.
